1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Threshing Floor Group Pvt Limited ("Company", "we", "us", or "our") governing your access to and use of the IYOV platform, including all related software, services, and features accessible at https://iyov.ai (also at tfgverify.com) and sub-domains including hrms.iyov.ai, employee.iyov.ai, portal.iyov.ai, lms.iyov.ai, and crm.iyov.ai (collectively, the "Platform"). By registering an account, clicking "Accept", or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms specific to particular services. If you are accepting on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" refers to both you individually and that organisation. If you do not agree to these Terms, do not access or use the Platform.

2. Description of Services

The Platform (accessible at iyov.ai and tfgverify.com) provides the following suite of enterprise HR and recruitment tools, each available at its own subdomain: Background Verification & AI Screening (iyov.ai): Automated and assisted verification of candidate employment history, education credentials, address, identity (PAN/Aadhaar), and court records. Includes AI-powered resume screening that ranks candidates against a job description. Recruitment & Job Portal (portal.iyov.ai): End-to-end recruitment management including job posting, application tracking, candidate shortlisting, interview scheduling, round management, offer extension, and hiring. Interview Management (iyov.ai): Structured multi-round interview tracking with HR feedback, ratings, candidate result notifications by email, and final decision management. HRMS — HR Management System (hrms.iyov.ai): Employee lifecycle management including onboarding, attendance, leave management, payroll inputs, document management, and automated letter generation. Employee Portal (employee.iyov.ai): Self-service employee access for viewing payslips, applying for leave, check-in/check-out, surveys, accessing issued documents, and tracking courses. LMS — Learning Management System (lms.iyov.ai): Course creation, learner enrollment, lesson delivery, progress tracking, quiz administration, and digital certificate issuance. CRM — Customer Relationship Management (crm.iyov.ai): Lead management, contact records, deal pipeline, activity tracking, and sales analytics. The Company reserves the right to add, modify, suspend, or discontinue any part of the Services at any time with reasonable notice where feasible.

4. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must NOT: Unlawful activity: Use the Platform to conduct, facilitate, or promote any activity that violates applicable law, including Indian IT law, labour law, data protection law, or anti-discrimination law. False information: Submit false or misleading information during registration, profile setup, BGV processes, or any other Platform activity. Impersonation: Represent yourself as another person, organisation, or entity. Unauthorised access: Attempt to access accounts, systems, or data that you are not authorised to access. Reverse engineer, decompile, or probe the Platform for vulnerabilities without prior written consent. Interference: Upload malware, spam, or content that disrupts, damages, or interferes with the Platform or its users. Scraping: Systematically extract data from the Platform using bots, scrapers, or automated tools without written permission. Abuse of BGV: Initiate background verification without having obtained the candidate's explicit prior consent, or use BGV results for purposes other than employment decisions. Discrimination: Use AI screening results or interview data to discriminate against candidates on grounds prohibited by law including race, caste, religion, gender, disability, or age. Violation of this Acceptable Use Policy may result in immediate account suspension or termination and may be reported to relevant authorities.

5. Background Verification — Specific Terms

The BGV service is subject to additional requirements: Consent obligation: The Organisation must obtain verifiable, written consent from the candidate before initiating any BGV check. The Platform provides a digital consent workflow — use of the Platform's consent mechanism is mandatory unless an equivalent documented consent is provided. Accuracy of information: Organisations are responsible for ensuring that the candidate information submitted for verification is accurate and authorised by the candidate. Use of results: BGV reports may only be used for the employment decision relating to the specific candidate for whom the check was initiated. Reports must not be shared with third parties, used for marketing, or retained beyond the statutory period. Third-party agencies: Certain checks are fulfilled by accredited third-party verification agencies. Their turnaround times and completion are subject to their own operational constraints. We are not liable for delays caused by third-party agencies or the unavailability of records at source institutions. No guarantee of completeness: Verification results are based on information available from source institutions at the time of the check. We do not guarantee completeness or that all historical records will be captured. Adverse action: If a BGV result leads to adverse employment action, the Organisation must follow applicable legal requirements (e.g., providing a pre-adverse action notice) before taking action against the candidate.

6. AI Screening — Limitations & Disclaimer

The AI Screening feature provides automated resume analysis and candidate-role match scores to assist HR professionals. It is a decision support tool, not a decision-making tool. Human oversight required: AI Screening results must be reviewed by a qualified HR professional before any employment decision is made. Organisations must not rely solely on AI scores to accept or reject candidates. Bias mitigation: We regularly audit our AI models for bias. However, we do not guarantee that AI outputs are free from bias. Organisations are responsible for applying human judgment and ensuring compliance with anti-discrimination laws. Training data: AI models are trained on anonymised, aggregated data. Individual candidate data is used for AI training only where the user has explicitly consented via the Privacy Settings panel. No liability for AI errors: We are not liable for employment decisions made on the basis of AI Screening results. The Organisation bears sole responsibility for all hiring decisions.

8. Intellectual Property

Platform ownership: The Platform, including its software, design, algorithms, AI models, databases, brand marks, and content created by us, is owned by Threshing Floor Group Pvt Limited or its licensors and is protected by copyright, patent, trade mark, and other intellectual property laws. Your content: You retain all rights to data and content you upload to the Platform (candidate data, HR documents, job descriptions, course content, etc.). By uploading content, you grant us a limited, non-exclusive, royalty-free licence to process, store, and display that content solely to provide the Services to you. Feedback: If you provide feedback or suggestions about the Platform, you grant us an irrevocable, perpetual, royalty-free right to use that feedback without compensation. Restrictions: You must not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the Platform's proprietary technology without our prior written consent.

9. Data Ownership & Portability

Your data belongs to you. We act as a Data Processor when processing data on behalf of Organisations and as a Data Controller for certain operational data as described in our Privacy Policy. Data export: You may export your data at any time in standard formats (CSV, PDF, JSON where applicable) via the Platform's export tools. Data deletion: Upon account closure, you may request deletion of your data. We will delete or anonymise it within 30 days, subject to our legal retention obligations (see Privacy Policy Section 7). No data lock-in: We do not impose technical barriers to data portability. We will cooperate with reasonable data migration requests.

10. Service Availability & SLA

We target 99.5% uptime for the Platform, measured monthly, excluding: • Scheduled maintenance (communicated at least 48 hours in advance) • Force majeure events • Third-party infrastructure failures beyond our reasonable control Downtime credits: If monthly uptime falls below 99.5%, eligible customers on paid plans may request a service credit. Credits are calculated as a percentage of the monthly fee proportional to the excess downtime. Credits are the sole remedy for uptime failures and do not apply to free-tier accounts. Maintenance windows: Scheduled maintenance is typically performed between 12:00 AM – 4:00 AM IST on weekdays. We will notify users via email and platform banner at least 48 hours in advance.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: Disclaimer of warranties: The Platform is provided "as is" and "as available". We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Cap on liability: In no event shall our total aggregate liability to you for any claims arising out of or related to these Terms or the Platform exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) INR 10,000. Excluded damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, even if we have been advised of the possibility of such damages. Exceptions: The above limitations do not apply to: (a) death or personal injury caused by our negligence; (b) fraud or wilful misconduct; (c) any liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Threshing Floor Group Pvt Limited and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: • Your use of the Platform in violation of these Terms or applicable law • Your uploaded content or data • Your violation of any third party's rights, including intellectual property or privacy rights • BGV checks initiated without candidate consent • Employment decisions made on the basis of Platform outputs

13. Termination

By you: You may close your account at any time by contacting support@tfgroup.ai. Closure does not entitle you to a refund of prepaid fees. By us: We may suspend or terminate your account with immediate effect if: • You materially breach these Terms and fail to cure the breach within 7 days of notice • We are required to do so by law or regulatory order • Your account poses a security risk to the Platform or other users • Non-payment of fees persists beyond 45 days Effect of termination: Upon termination, your right to access the Platform ceases immediately. We will retain your data for the period specified in the Privacy Policy, after which it will be deleted or anonymised. Sections that by their nature should survive termination (including Sections 8, 9, 11, 12, 14, and 15) will continue to apply.

14. Governing Law & Dispute Resolution

Governing law: These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Informal resolution: Before initiating formal proceedings, you agree to contact us at connect@tfgroup.ai and give us 30 days to attempt to resolve the dispute informally. Arbitration: If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English in Hyderabad, Telangana by a sole arbitrator mutually agreed upon by the parties. Courts: Notwithstanding the above, either party may seek injunctive or other equitable relief in the courts of Hyderabad, Telangana to prevent irreparable harm. The courts of Hyderabad shall have exclusive jurisdiction over any matter not subject to arbitration. Class action waiver: You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any class or representative action.

15. General Provisions

Entire agreement: These Terms, together with the Privacy Policy and any service-specific terms, constitute the entire agreement between you and us regarding the Platform and supersede all prior agreements. Amendments: We may update these Terms from time to time. We will notify you via email and a Platform banner at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. No waiver: Our failure to enforce any provision does not constitute a waiver of that provision. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to an affiliate or in connection with a merger or acquisition. Force majeure: We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, government actions, pandemics, internet outages, or third-party service failures. Notices: Notices from us will be sent to the email address registered on your account. Notices to us must be sent to connect@tfgroup.ai. Language: These Terms are written in English. Any translation is provided for convenience only; the English version controls in the event of conflict.
